1. Acceptance of Terms

2. Scope of Services

Business Clever LLC operates as a full-service digital agency providing custom web development, technical SEO & GEO (AI Search Engine Optimization), Meta & Google advertising, brand design, and growth consulting.

3. Proposals, Quotes & Invoicing

• Currency: All quotes, estimates, and official invoices are issued in United States Dollars (USD – $) unless explicitly specified otherwise in writing.
• Payment Terms: Payments are due upon receipt of invoice or as defined in project milestone agreements.
• Stripe Checkout: Client payments are processed securely via Stripe. By completing a transaction via Stripe, you authorize Business Clever LLC to charge the designated amount.

4. Intellectual Property & Deliverables

Upon full payment of all project invoices, the client receives ownership rights to custom code, web designs, and deliverables created specifically for their business, excluding proprietary agency frameworks, open-source modules, or third-party plugins licensed under separate agreements.

5. Limitation of Liability

To the maximum extent permitted by law, Business Clever LLC shall not be liable for indirect, incidental, consequential, or punitive damages resulting from site downtime, third-party API changes, or search engine algorithm updates beyond our reasonable control.

6. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict of law principles.
